Terms of Service
Effective: October 8, 2026
These Terms govern access to Contractor360 CRM, its websites, applications, customer portals, electronic-signature tools, communications, invoicing, payments, and related services (the “Service”).
1. Agreement and eligibility
By creating an account, accepting these Terms, or using the Service, you agree to these Terms and our Privacy Policy. If you act for a company, you represent that you can bind it. You must be at least 18 and legally able to enter contracts.
2. Accounts and company workspaces
- Provide accurate and current account, company, billing, and contact information.
- Keep passwords and access links confidential and report suspected unauthorized access promptly.
- You are responsible for activity through your account and for managing your company’s users and permissions.
- Access only workspaces and records you are authorized to use.
3. Contractor responsibility
Contractor360 provides business-management software. It is not a contractor, lender, insurer, attorney, accountant, employer, or party to agreements between contractors and customers. Each contractor is responsible for its licenses, insurance, estimates, contracts, work, warranties, taxes, notices, disclosures, and legal compliance.
4. Customer Content
You retain ownership of information and files you submit, including customer records, estimates, contracts, photos, signatures, and invoices (“Customer Content”). You grant us a limited worldwide license to host, process, reproduce, transmit, and display it only as needed to provide, secure, support, and improve the Service or comply with law.
- You confirm you have the rights, permissions, and lawful basis needed to process Customer Content.
- You are responsible for its accuracy, legality, retention, and delivery.
- Do not upload unlawful content or sensitive data the Service is not designed to collect.
5. Electronic records and signatures
The Service facilitates electronic records and signatures. The document parties—not Contractor360—decide whether electronic execution is appropriate and legally sufficient. A signer consents to transact electronically through the disclosure shown in the signing flow.
- Send secure links only to intended recipients and keep them confidential.
- Audit evidence may include timestamps, contact details, IP address, browser/device information, consent records, and document hashes.
- The sender must provide any notices, cancellation rights, paper copies, identity checks, or special formalities required for the transaction.
- Each party should download and retain completed records. We do not guarantee enforceability in every jurisdiction.
6. Communications
You authorize transactional email about accounts, security, billing, documents, and signatures. When using email or text delivery, you represent that you have permission to contact every recipient. Carrier rates may apply. Marketing requires any additional consent required by law.
7. Payments and financing
Third-party processors such as Stripe process payments under their own terms. Contractor360 does not store full card numbers and does not control authorization, disputes, refunds, reserves, payouts, or processor availability. Contractors remain responsible for prices, taxes, refunds, chargebacks, and customer disputes.
CRM 360 transaction commission: connected contractor accounts authorize a commission of 0.59% of each successful USD payment plus $0.19, deducted from the payment and credited to the platform Stripe balance. Amounts are rounded to whole cents. Stripe processing fees are separate. At Stripe’s standard domestic card rate of 2.9% plus $0.30, the combined cost is 3.49% plus $0.49; the actual total can vary with rounding, account pricing, payment method, international cards, currency conversion, and other processor charges. This transaction commission is separate from the CRM subscription. ADMJ Painting & Decorating Inc, the platform owner, is exempt from the CRM commission but remains subject to its existing Stripe fees. No CRM transaction commission is charged on failed payments. Refunds initiated through the CRM return the application fee proportionally through Stripe. Any optional customer surcharge must be disclosed before payment and comply with applicable laws and payment-network rules. Each contractor uses its own connected Stripe account and bank account.
Financing applications, credit decisions, disclosures, offers, and funding are supplied by independent financing partners. Monthly-payment illustrations are estimates, not credit offers or approvals.
8. Subscriptions
Paid plans recur until canceled and are billed in advance at the price and interval shown at checkout, plus applicable taxes. You authorize recurring charges to the saved payment method. Except where law requires otherwise, paid fees are non-refundable. The Subscription Terms also apply.
9. Acceptable use
You may not violate law or third-party rights, enter another tenant without authorization, interfere with security, distribute malware, send spam, impersonate others, forge signatures, scrape at unreasonable volume, or facilitate fraud or unlawful discrimination. The Acceptable Use Policy is incorporated here.
10. Third-party services
Independent services may connect to or be linked from the Service. Their terms govern your use. We are not responsible for their content, decisions, outages, changes, or conduct.
11. Availability and changes
We may update, maintain, suspend, or discontinue features. We seek reliable operation but do not promise uninterrupted or error-free availability. We may update these Terms prospectively by posting a new version and giving additional notice when required.
12. Suspension and termination
You may stop use and cancel under the Subscription Terms. We may restrict or terminate access for nonpayment, material breach, security risk, unlawful conduct, or legal compliance. Where practical, we will provide notice and an opportunity to export records. Terms that by nature should survive will survive.
13. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” WE DISCLAIM IMPLIED WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT CONTRACT RESULTS, PAYMENT, FINANCING, LEGAL COMPLIANCE, OR USER-SUPPLIED CONTENT.
14. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CONTRACTOR360 AND ITS AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR LOST PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS. TOTAL LIABILITY WILL NOT EXCEED THE GREATER OF $100 OR FEES PAID FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT. THESE LIMITS DO NOT APPLY WHERE PROHIBITED.
15. Indemnity
To the extent permitted by law, you will defend and indemnify Contractor360 and its affiliates from third-party claims arising from your Customer Content, contracting work, customer relationships, violation of law, or breach of these Terms.
16. Governing law and disputes
California law governs without regard to conflict rules. Before filing a claim, each party will send written notice and attempt good-faith resolution for 30 days. Unless law requires otherwise, courts in Riverside County, California have exclusive jurisdiction. Rights that cannot legally be waived remain intact.
17. General
These Terms and incorporated policies are the entire agreement about the Service. If one provision is unenforceable, the remainder continues. A failure to enforce is not a waiver. You may not assign these Terms without consent; we may assign them during a reorganization, merger, acquisition, or asset transfer.
